Introduction
Welcome to Grinning Co. ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our web pages located at https://useforward.app and our mobile application Forward (together or individually "Service") operated by Grinning Co.
Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard, and disclose information that results from your use of our Service. Please read it at https://useforward.app/privacy.
Your agreement with us includes these Terms and our Privacy Policy ("Agreements"). You acknowledge that you have read and understood the Agreements and agree to be bound by them.
If you do not agree with (or cannot comply with) the Agreements, you may not use the Service. Please contact us at hello@useforward.ai if you have questions. These Terms apply to all visitors, users, and others who access or use the Service.
Communications
By creating an account on our Service, you agree to receive service-related communications from us, including account notices, updates, and information about the Service. You may opt out of non-essential communications at any time by following the unsubscribe link in any such message or by emailing us at hello@useforward.ai.
Purchases
If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase, including your payment method details, billing address, and contact information.
You represent and warrant that: (i) you have the legal right to use any payment method
in connection with any Purchase; and (ii) the information you supply to us is true, correct, and complete.
We may use third-party services to facilitate payment and the completion of Purchases. By submitting your payment information, you grant us the right to provide that information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order, or suspected fraud or unauthorized transactions.
Subscriptions
Some parts of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on either a monthly or annual basis, depending on the subscription plan you select.
At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Grinning Co. cancels it. You may cancel your Subscription through your online account management page or by contacting our support team.
A valid payment method is required to process your subscription payment. You shall provide Grinning Co. with accurate and complete billing information. By submitting such payment information, you authorize Grinning Co. to charge all Subscription fees to your selected payment method.
Should automatic billing fail for any reason, Grinning Co. will issue an electronic invoice indicating that you must complete the payment manually within a specified deadline.
Free Trial
Grinning Co. may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").
If you enter your billing information when signing up for a Free Trial, you will not be charged until the Free Trial has expired. On the last day of the Free Trial period, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees.
Grinning Co. reserves the right to modify the terms of any Free Trial offer or cancel such Free Trial offer at any time.
Fee Changes
Grinning Co. may modify Subscription fees at any time. Any fee change will become effective at the end of the then-current Billing Cycle.
Grinning Co. will provide you with reasonable prior notice of any change in Subscription fees so that you have the opportunity to cancel your Subscription before the change takes effect.
Your continued use of the Service after a Subscription fee change takes effect constitutes your agreement to pay the modified fee amount.
Refunds
We issue refunds for Subscriptions within three(3) days of the original purchase. To request a refund, please contact us at hello@useforward.ai.
Content and Student Ownership
Forward is a student-owned platform. The content you create through the Service belongs to you.
Your ownership:
[a] You retain full ownership of all content you create through the Service, including your career description, resume, cover letters, application materials, and any other personal career content.
[b] Forward does not claim any ownership rights over the content you create.
[c] You may export, download, or delete your content at any time through your account settings.
Limited license to Forward:
[a] By using the Service, you grant Grinning Co. a limited, non-exclusive license to use, store, and process your content solely for the purpose of providing and improving the Service to you. This includes using your career description and resume to generate job matches, tailoring suggestions, and cover letters on your behalf.
[b] This license does not give Grinning Co. the right to sell your content, share it with advertisers, or use it for any purpose unrelated to providing the Service.
[c] This license ends when you delete the relevant content or close your account, subject to any retention obligations described in our Privacy Policy.
AI use of your content:
Your career content is used to power the AI guidance within the Service. Your personal contact information is never passed to our AI systems. For full details on how AI interacts
with your data, please see Section 11 of these Terms and our Privacy Policy.
Responsibility for your content:
You are responsible for ensuring that content you provide through the Service is accurate and does not violate the rights of any third party. Grinning Co. is not responsible for the accuracy of content you provide, including your resume or application materials.
Prohibited Uses
You may use the Service only for lawful purposes and in accordance with these Terms.
You agree not to use the Service:
[a] In any way that violates any applicable national or international law or regulation.
[b] For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
[c] To transmit or procure the sending of any advertising or promotional material, including any junk mail, chain letter, spam, or any other similar solicitation.
[d] To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
[e] In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful.
[f] To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm or offend the Company or users of the Service.
Additionally, you agree not to:
[a] Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.
[b] Use any robot, spider, or other automatic device or process to access the Service for any purpose, including monitoring or copying any material on the Service.
[c] Use any manual process to monitor or copy any material on the Service without our prior written consent.
[d] Use any device, software, or routine that interferes with the proper working of the Service.
[e] Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
[f] Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service or any server, computer, or database connected to the Service.
[g] Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
[h] Otherwise attempt to interfere with the proper working of the Service.
AI-Powered Service
Forward uses artificial intelligence to deliver core features of the Service, including Felix, your AI career guide. By using the Service, you acknowledge and agree to the following:
[a] AI guidance is provided for informational and career development purposes only. It does not constitute professional career counseling, legal advice, employment advice, or any other professional service.
[b] The AI works with information you provide. The quality and relevance of AI guidance depends on the accuracy and completeness of the information you share.
[c] Your personal contact information is never passed to our AI systems. AI tailoring suggestions generated during a session are not stored after that session ends unless you explicitly save them.
[d] Career conversations with the AI are private and are not accessed by Forward staff. If you enable Private Chat Mode, your conversation is permanently deleted at the end of your session.

Waiver and Severability
No waiver by Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure of Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
Analytics
We may use third-party Service Providers to monitor and analyze the use of our Service.
Google Analytics is a web analytics service offered by Google that tracks and reports website traffic. We configure Google Analytics with privacy-protective settings. We do not use Google Analytics features that share your data with Google's advertising network.

Azure DevOps is a software platform from Microsoft used to support the development of our Service. Student personal data and career conversation content are not stored in our development infrastructure.

Eligible Users
Forward is designed for students who are beginning their career journey. The Service is available to users aged 13 and older, subject to the conditions below.
Users aged 13 to 17:
[a] Users between the ages of 13 and 17 may use the Service with the consent of a parent or legal guardian. By creating an account, users in this age group represent that they have obtained such consent.
[b] Parents and guardians of users aged 13 to 17 may contact us at hello@useforward.ai to review, request correction of, or request deletion of their child's personal data.
[c] We apply additional privacy protections to users under 18, including no targeted or behavioral advertising and no sharing of personal data with third parties for marketing purposes. See our Privacy Policy for full details.
Users aged 18 and older:
Users 18 and older may create an account and use the Service without parental consent, subject to these Terms.
Users under 13:
The Service is not intended for use by anyone under the age of 13. If we become aware that a user under 13 has created an account, we will remove that account and associated data promptly. If you believe a child under 13 has created an account, please contact us at hello@useforward.ai.
Accounts
When you create an account with us, you represent that the information you provide is accurate, complete, and current. Inaccurate, incomplete, or false information may result in the immediate termination of your account.
You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately at hello@useforward.ai upon becoming aware of any breach of security or unauthorized use of your account.
You may not use a username that is the name of another person or entity without appropriate authorization, that is subject to the rights of another person or entity, or that is offensive, vulgar, or obscene.
We reserve the right to refuse service, terminate accounts, or cancel orders in our sole discretion, subject to the data portability provisions in Section 19.
Intellectual Property
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Grinning Co. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Grinning Co.
For the avoidance of doubt, the career content students create through the Service (including career descriptions, resumes, and application materials) belongs to the student, as described in Section 8
Termination
We may terminate or suspend your account and bar access to the Service, without prior notice or liability, under our sole discretion, for any reason, including but not limited to a breach of these Terms.
If you wish to terminate your account, you may do so through your account settings or by contacting us at hello@useforward.ai.
Your data upon termination:
[a] Upon termination or suspension of your account, you will have thirty (30) days to export or download your career content, including your resume and career description, through your account settings or by contacting us at hello@useforward.ai.
[b] After thirty (30) days following termination, your personal data and career content will be deleted from our systems in accordance with our Privacy Policy, unless we are required by law to retain it for a longer period.
[c] Where termination is initiated by Grinning Co. and is not the result of a breach of these Terms by you, we will make reasonable efforts to provide you with advance notice so that you have time to retrieve your content.
All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Error Reporting and Feedback
You may provide us with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service ("Feedback") by emailing hello@useforward.ai.
You acknowledge and agree that: (i) you shall not retain, acquire, or assert any intellectual property right or other right, title, or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback.
To the extent that ownership of Feedback cannot be transferred under applicable law, you grant Grinning Co. a non-exclusive, transferable, irrevocable, royalty-free, sublicensable, and perpetual right to use the Feedback for purposes of improving and developing the Service.
Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by Grinning Co. Grinning Co. has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.
YOU ACKNOWLEDGE AND AGREE THAT GRINNING CO. SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH CONTENT, GOODS, OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD-PARTY WEBSITES OR SERVICES.
WE STRONGLY ADVISE YOU TO READ THE TERMS OF SERVICE AND PRIVACY POLICIES OF ANY THIRD-PARTY WEBSITES OR SERVICES THAT YOU VISIT.
Disclaimer of Warranty
THESE SERVICES ARE PROVIDED BY COMPANY ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.
NEITHER COMPANY NOR ANY PERSON ASSOCIATED WITH COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. Limitation of Liability

Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements between us regarding the Service.
Changes to Service
We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service, or the entire Service, including to registered users.
Amendments to Terms
We may amend these Terms at any time. For material changes to these Terms, we will notify you by email or by a prominent notice within the Service at least fourteen (14) days before the changes take effect. Non-material changes (such as corrections, clarifications, or changes required by law) may take effect immediately upon posting.
Your continued use of the Service following the effective date of any revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using the Service before the changes take effect. You may export your career content at any time through your account settings.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
